Please read the following software licence agreement carefully before using the software.

CYTOGNOS S.L. INFINICYT SOFTWARE: LICENCE AGREEMENT 1. INTRODUCTION AND ACCEPTANCE. This Licence Agreement is a legal agreement between you (either individual or an entity) and Cytognos S.L. (“CYTOGNOS”) regarding the use of the CYTOGNOS software entitled Infinicyt, which includes user documentation provided in electronic form. BEFORE YOU PRESS “I accept the terms in the licence agreement” OPTION, CAREFULLY READ THE TERMS AND CONDITIONS OF THIS LICENCE AGREEMENT. BY CLICKING ON THE “I accept the terms in the licence agreement” OPTION, YOU ARE AGREEING TO BE BOUND BY AND BECOMING A PARTY TO THIS LICENCE AGREEMENT. IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS LICENCE AGREEMENT, CLICK THE “I do NOT accept the terms of the Licence Agreement” OR LEAVE INFINICYT PURCHASE AREA. IF YOU DO NOT INSTALL THIS SOFTWARE PLEASE DESTROY ALL COPIES IN YOUR POSSESSION. 2. LICENCE. The Infinicyt Software (designated herein after as “SOFTWARE”) is property of CYTOGNOS and protected by intellectual property laws. CYTOGNOS does not transfer software property to the Customer; rather gives a limited licence to use it under the conditions listed on this agreement. This is a non-exclusive and non-transferable licence unless otherwise authorised by CYTOGNOS. Customer agrees that CYTOGNOS and/or its licensors retain all copyrights and other intellectual property rights pertaining to the SOFTWARE. CYTOGNOS does not claim property of any third party library the SOFTWARE uses. Those libraries retain their respective licences. 2.1. Types of Licence. Standalone Licence: CYTOGNOS and its suppliers grant to the Customer a non-exclusive and non transferable licence to use the SOFTWARE solely in equipment (owned or leased by the Customer) with the security hardware (“Dongle”) supplied by CYTOGNOS. A Customer can install the Software in unlimited number of computers but it can only be used together with the Dongle supplied by CYTOGNOS for each standalone licence. A standalone licence can be used to open the SOFTWARE several times within the same equipment but never in more than one computer simultaneously using the same Dongle. A standalone licence cannot be used to open a network licence. A set of standalone licences can be converted to a network licence at Customers request at a fee to be agreed with CYTOGNOS. Network Licence: CYTOGNOS and its suppliers grant to the Customer a non-exclusive and non transferable licence to use the SOFTWARE which will be configured for network use solely in equipment (owned or leased by the Customer) with the security hardware (“Dongle”) supplied by CYTOGNOS. A network licence has associated to it a limited number of single licences which can be opened simultaneously through a server. The number of single licences associated to the network licence will depend on the number of licences for which the Customer has paid the licence fee. Although the network licence has several single licences associated to it, it will be considered as a whole therefore all single licences of a network licence should have their maintenance fee paid simultaneously. All single licences in a network licence should be updated simultaneously through the means supplied by CYTOGNOS. A network licence cannot be used to open a standalone licence. A customer can at its own expense decide to change from a Network Licence to a set of Standalone Licences after previous consent by CYTOGNOS. A network Licence should be installed in a single server for use on a local area network or to be used by remote connection. The SOFTWARE will work in all computers connected to the network provided that they do not exceed the limited number of single licences for which the customer has paid a licence fee. 3. CONDITIONS OF USE. Customer shall not copy, in whole or in part, SOFTWARE or documentation unless expressly authorised. Customer may make 1 (ONE) copy of the SOFTWARE for back-up or archival purposes. Customer affixes to such copy all copyright, confidentiality and proprietary notices that appear on the original. Customer shall not modify, decompile, reverse-engineer the SOFTWARE, use any of its parts in combination with, or merged with any software not provided by CYTOGNOS. Customer shall not give, rent or sell copies of this SOFTWARE, in whatever form, to third parties even for use with CYTOGNOS reagents, without prior written consent by CYTOGNOS. 3.1. Prohibited Uses. This product has not been specifically approved for in vitro diagnosis use and as such is not marketed with any claims concerning the performance of the product in use for interpreting data for the clinical diagnosis or treatment of any disease, disorder or other medical condition. In the event that this SOFTWARE, or data derived from it is directly or indirectly used in any manner not expressly authorised by this agreement; Customer hereby agrees to indemnify, defend and hold harmless, CYTOGNOS, its directors, officers, shareholders, members, managers, agents, successors, and assigns from and against any and all claims, lawsuits and demands arising from or related in any way to such unauthorised use of the SOFTWARE or data derived it. Said obligation shall include, but not be limited to, all costs of defence, including all solicitor fees and other amounts assessed by the court against CYTOGNOS, and any and all other expenses and costs incurred by them as a result of any such action or claim. Cytognos may modify this agreement at any time by posting the revised agreement at www.infinicyt.com. Your continued use of the SOFTWARE and/or data derived therefrom shall constitute your acceptance of such revised Agreement. 3.2. Exception Notice. As a special exception, portions of the SOFTWARE may utilise or include third-party libraries. Acknowledgments, licencing terms and disclaimers for these libraries are contained in the SOFTWARE documentation and these libraries are governed by their respective terms. 3.3. Trademarks. CYTOGNOS name used in this License Agreement, the SOFTWARE and the documentation may constitute trademarks of CYTOGNOS or third parties. You are not authorized to use any such trademarks. 4. LIMITED GUARANTEE. 4.1. Guarantee of Title. CYTOGNOS hereby represents and warrants to Customer that CYTOGNOS is the owner of the SOFTWARE or otherwise has the right to grant to Customer the limited licence to use the SOFTWARE in the conditions listed in this agreement. 4.2. Guarantee of Functionality. For a period of 12 (twelve) months following delivery of the SOFTWARE to Customer, CYTOGNOS warrants that the SOFTWARE shall perform in all material respects according to the CYTOGNOS specifications concerning the Software when used with the appropriate computer equipment. CYTOGNOS attests it is feasible to test only the most frequent or probable combinations of data inputs meaning that although we at CYTOGNOS test our SOFTWARE with the utmost care there will always remain a remote probability that the program does not work according to its associated documentation. Therefore, CYTOGNOS cannot accept any responsibility for lost revenue, damaged data, or whatever other damage caused by any such malfunction. It is the responsibility of the Customer to take the adequate precautions to minimise foreseeable consequences of any such malfunction. In case of malfunction, CYTOGNOS only guarantees, if applicable the correction of the faulty SOFTWARE in a reasonable delay, the replacement of the SOFTWARE, and/or the necessary advice to the user by our technical support specialists. In the event of any malfunction, Customer shall promptly notify CYTOGNOS and return the SOFTWARE to CYTOGNOS at Customer expense. This guarantee does not apply if the SOFTWARE has been altered, except by CYTOGNOS, has not been installed, operated, repaired or maintained in accordance with instructions supplied by CYTOGNOS, has been subjected to abnormal physical or electrical stress, misuse, negligence or accident, or is used on an operating environment not approved by CYTOGNOS. In case a library has guarantee terms different from those previously defined in this licence agreement those only shall be applied to that library. CYTOGNOS cannot accept any responsibility for any modification of the libraries outside the terms defined in their respective licences. Some local laws prohibit or restrict clauses of this kind, so the contents of clause 4.2 may not be applicable to you in all or in part. However, we point out that to our knowledge no law guarantees any indemnification to Customers that do not use the SOFTWARE in accordance to its official documentation. Similarly, no law protects a Customer who did not obtain its copy of the SOFTWARE through channels not expressly agreed by CYTOGNOS. Customer should also acknowledge that all versions of the SOFTWARE labelled as "alpha", "beta", "demo", "pre release", "test" or with any similar meaning are provided by CYTOGNOS for exclusive purposes of test and evaluation, and therefore they do not entitle you, under any circumstance to an indemnification of any kind. All such SOFTWARE products are provided as is without any guarantee whatsoever. 4.3. Guarantee of Reliability. In addition to the above restrictions, Customer agrees that because of the nature of the problems treated with the SOFTWARE, there may be cases in which the result provided by it cannot be objectively considered correct. This applies in particular to any form of automatic or assisted analysis incorporated in the SOFTWARE which goal is not to replace human experts but to achieve an overall reduction of analysis time. Our SOFTWARE automatic or assisted analysis is not designed for unsupervised use and its proper use must always include a visual verification of the provided diagrams and statistical results. Correct use of SOFTWARE tools is explained in the documentation of each SOFTWARE version. If the results provided by the SOFTWARE and most especially diagrams do not meet the quality criteria specified in SOFTWARE documentation the Customer must NOT use those results unless they are validated by a high-level specialist with a high degree of competence and expertise in flow cytometry analysis. If this restriction is not respected, CYTOGNOS declines any responsibility about consequences, even in case of legal restrictions as mentioned in clause 4.2 since the SOFTWARE would not have been used in accordance with the official documentation provided by CYTOGNOS. 5. SOFTWARE MAINTENANCE. 5.1. Standard maintenance. During the guarantee period which involves the first 12 (TWELVE) months after delivery CYTOGNOS shall provide to Customer any new, corrected or enhanced version of the SOFTWARE as created by CYTOGNOS. Such enhancement shall include all modifications to the SOFTWARE which increase speed, efficiency or ease of use of the SOFTWARE, or added additional capabilities or functionalities to the SOFTWARE, but shall not include any upgrade from Basic to Advanced Licences. 5.2. Optional maintenance. After expiration of the guarantee period, Customer may continue to receive maintenance including e-mail support for successive 12 (TWELVE) month periods. The charge for such optional maintenance shall be given according to CYTOGNOS regular price list for maintenance and support as published in the Terms and Conditions of Sale. Customer shall notify CYTOGNOS in writing to receive optional maintenance. Failure to renew the optional maintenance fee implies that from the expiration of the last paid maintenance Customer will exclusively have right to use the SOFTWARE ‘as is’, with no further right to any upgrade or correction, nor to any consult to CYTOGNOS technical support by whatever means. If Customer fails to take optional maintenance and later elects to receive it, CYTOGNOS reserves the right to charge Customer maintenance fees for the period of the lapse in maintenance or if so decided a full new licence. CYTOGNOS may elect to discontinue maintenance at any time upon notice to Customer and refund of any then unearned maintenance fees. 6. PRIVACY STATEMENT. Infinicyt Updater Web Service only collects information from SOFTWARE serial number and version which is used to check available SOFTWARE updates, upgrades, downloads or actualisations which will be reported to Customer by the Infinicyt Updater in order to offer to the Customer the latest SOFTWARE improvements. No other information, including personal, confidential or information related to Customer computer, is sent, collected, stored or used. Customer Internet Protocol (IP) address used during the connection to the Infinicyt Updater Web Service is not collected, stored and it is not used to identify or contact the Customer therefore Customer will remain anonymous during the whole process. Infinicyt Updater Web Service can be stopped at any time if Customer feels that it might affect Customer privacy. All functional warranties expressed in this licence agreement will only be valid when Infinicyt Updater function has not been inactivated. 7. BEGINNING AND TERMINATION OF THE AGREEMENT. This agreement will be effective immediately after the user finishes the installation process of the program, resulting in an operative version of the SOFTWARE. Customer may terminate this agreement at any time by destroying all copies of SOFTWARE including any documentation. This licence will terminate immediately, with or without notification from CYTOGNOS, if the customer fails to comply with any of the obligations deriving from this agreement. In whatever case of termination, customer will no longer be authorised to use the SOFTWARE and must destroy all the copies of SOFTWARE or any of its parts. 8. APPLICABLE LAW. All the terms of this Licence Agreement will be governed by Spanish national laws, as interpreted, if necessary, by the appropriate tribunals of the city of Salamanca (Spain). Invalid Input

CYTOGNOS S.L. INFINICYT SOFTWARE: CONDITIONS OF SALE. 1. CONTRACT. This contract is made between Cytognos, S.L. (“the Company”) and the customer as stated in the order form (“PURCHASER”). Any typographical clerical or other error or omissions in the catalogue, quotation, price list or any other document may be changed without the COMPANY incurring any liability. 2. ORDERS. The COMPANY accepts orders by email, regular mail and fax. All orders must contain an order number. 3. PRODUCT SPECIFICATIONS. The software is offered in a box with a CD-rom, a dongle and a Quick start guide for installation. Basic module of the software (CYT-INFINICYT-P) includes 4 functions: -Merge -Manual analysis -Editor -Export User’s manual and Online help is provided in the menu of the software. Guarantee, version upgrades for functions included in the first purchased licence, and maintenance including e-mail support, are included in the licence fee for the first year, and can be renewed by paying the annual fee licence the second and following years. 4. UPGRADES. Upgrades consist on new developments for functions included in the first purchased licence (Merge, Manual analysis, Editor and Export). Version upgrades are scheduled at the discretion Cytognos, SL, which will anyway publish at least one version upgrade per year. Upgrades will also include the correction of bugs detected since last version. 5. MODULES. Every new major function included in the software apart from the 4 already mentioned (Merge, Manual Analysis, Editor and Export) will be considered a new module and will have a value for purchase and maintenance. Advanced Module (CYT-INFINICYT-ADV1) is available and includes the following functions: -Calculate Data -Advanced Analysis 6. PRICES. Prices quoted do not include VAT. Delivery and insurance are extra. Price for the Basic module (CYT-INFINICYT-P): Licence fee for the first user is 3500€ (THREE THOUSAND FIVE HUNDRED EUROS), for additional licenses for same user (same VAT number) please contact. Upgrades and maintenance for functions included in the first purchased licence are free of charge for the first year and will be charged 700€ (SEVEN HUNDRED EUROS) a year if contracted on a yearly basis or subject to quotation if contracted after regular time. In subsequent years, maintenance fee may vary at the discretion of Cytognos who will advise accordingly interested customers. Advanced Module (CYT-INFINICYT-ADV1) will have and additional cost, if purchased, of 2000€ (TWO THOUSAND EUROS) for each first or secondary licence. Quotations will be supplied on request for those products listed by the COMPANY and will remain fixed for the period written in the quotation or if no time is set, 30 days. 7. PAYMENT. Pre-payment is required. 8. DEFINITION OF THE SERVICE AGREEMENT OFFERED. The sole and exclusive remedy of the PURCHASER is limited to the replacement of goods or the refund of the invoice price of the goods. All faulty or broken products must be retained pending notification of the complaint and made available for return to the COMPANY if requested. Breakages or shortages must be notified within 5 working days of receipt goods. In the event of a complaint of any kind, the PURCHASER must provide the order number, invoice number and CYT reference. The COMPANY will not replace or refund any invoice if the defect has occurred as a result of the PURCHASER´s damage, or negligence, abnormal working conditions, or failure to follow the normal instructions for use of the goods. Failure to renew the annual maintenance fee will imply that since the expiration of the last paid maintenance year, the licence of the PURCHASER will include exclusively the right to use the program ‘as is’ in its state at this expiration date, with no further right to any upgrade, nor to any consult to the COMPANY by whatever means. After failing to pay one or more annual maintenance periods, the PURCHASER will have the possibility of renewing the upgrade / maintenance contract , by paying either all the annual maintenance periods not paid at the corresponding dates, or a full new license, at the discretion of the PURCHASER. 9. GUARANTEE. Cytognos, S.L. guarantees the correct functioning of the software when used according to the specifications expressed in the user manual for each function. Minimum equipment requirements have been specified and Cytognos, S.L. is not responsible for the performance of the product in other settings. Guarantee is limited to return of the product. 10. USES. This software application is for research use only. Diagnostics if made using this software are only the responsibility of the user. The use of this software is subject in any circumstance to the conditions contained in the document of Licence of Use exposed in the Infinicyt web site and included in the installation disks and archives of the program. The COMPANY does not transfer the property of the software, but grants to the PURCHASER a limited and non-exclusive licence of use allowing only the use of the software. The PURCHASER accepts all the conditions of the document of Licence of Use and therefore renounces explicitly to modify or reverse-engineer any part of the software, and to make any copy of the software, being understood in any case that the propagation of copies of the software outside the institution of the PURCHASER is strictly forbidden, either for commercial or non-commercial purposes. 11. JURISDICTION. Purchaser, to the effects of this contract submits himself to this jurisdiction of the kingdom of Spain.Invalid Input
