License Agreement

CYTOGNOS S.L.

LICENSE AGREEMENT FOR INFINICYT SOFTWARE (designated as "Software" in the rest of this agreement).

1. LICENSE.
The Software is the property of CYTOGNOS and is protected by the laws of intellectual property. CYTOGNOS does not transfer to you the property of the software, but the right to use it in the conditions listed in this Agreement and / or the particular agreement by which Cytognos allows you to use the Software. This right is non-exclusive and non-transferable unless otherwise authorized by CYTOGNOS. You agree that CYTOGNOS and/or its licensors retain all copyrights and other intellectual property rights pertaining to the Software.

CYTOGNOS does not claim property of any third party library the Software uses. Those Libraries retain their respective licenses.

2. CONDITIONS OF USE.
Unless expressly authorized, you may not make copies of this program for other purposes than backup or archival. You may not modify, decompile, or reverse-engineer this program, nor may you use it or any of its parts in combination with, or merged with, any software not provided by CYTOGNOS. You may not give, rent or sell copies of this program or any of its parts, in whatever form, to third parties, even for use with CYTOGNOS reagents.

2.1 Exception notice.

As a special exception, portions of the Software may utilize or include third-party libraries. Acknowledgments, licensing terms and disclaimers for these libraries are contained in the documentation for the Software and the use of these libraries is governed by their respective terms.

3. LIMITED WARRANTY.
3.1. Agreement of the Software with its corresponding documentation. 
You agree that it is mathematically impossible to test any piece of software under all the possible combinations of input data, present and past, because the number of these combinations is astronomical. It is materially possible to test only the most frequent or probable combinations of such data. This means that, although we test our programs with maximal care, there will always remain a remote probability that the program does not work according to its associated documentation provided by CYTOGNOS. Therefore, CYTOGNOS cannot accept any responsibility for lost revenue or profit, damaged data, or whatever other damage caused by any such malfunction. It is the responsibility of the user to take the adequate precautions to minimize the foreseeable consequences of any such malfunction. In case of malfunction, CYTOGNOS only guarantees, if applicable, the correction of the faulty software in a reasonable delay, the replacement of the faulty support of the software, and/or the necessary advice to the user by our specialists, without charge in all cases.   
Some local laws prohibit or restrict clauses of this kind, so the contents of clause 3.1 may not be applicable to you in all or in part. However, we point out that, to our knowledge, no law guarantees any indemnification to users who do not use the Software in accordance to its official documentation, so we urge you to read this documentation with the maximal care before using the Software. Similarly, no law protects users who did not obtain their copies of the Software through channels not expressly agreed by CYTOGNOS. You also acknowledge that all versions of the Software labelled as "alpha", "beta", "demo", "pre-release", "test" or with other similar expressions are provided by CYTOGNOS for exclusive purposes of test and evaluation, and therefore they do not entitle you, under any circumstance, to any indemnification of any kind.

If a library used by the Software expresses Warranty Terms, in any case different from those previously defined; these terms only shall be applied to that library.

CYTOGNOS cannot accept any responsibility for any modification of the libraries outside the terms defined in the respective licenses.

3.2. Reliability of the Software.
In addition to the above restrictions, you agree that, because of the statistical and often subjective nature of the problems treated by INFINICYT or other similar software, there may be cases in which the results provided by this software cannot be considered objectively correct. This applies in particular to any form of automatic or assisted analysis incorporated in the Software. The goal of these functionalities is not to replace human experts, but to achieve a dramatic global reduction of the analysis time of cytometric files. However, our automatic or assisted analysis software IS NOT DESIGNED FOR UNSUPERVISED USE. Proper use of this software must ALWAYS include a visual verification of the graphics provided by the Software together with the numerical results. The criteria of this verification are explained in the documentation of each variant of the Software. CYTOGNOS guarantees that this verification can be reliably performed by technicians with medium skill, competence and experience in the corresponding application of cytometric techniques, and that in the vast majority of cases this verification should take a time dramatically lower than that required to perform a full manual analysis. However, in a small number of cases, especially when the proportion of debris in the sample is high, the preparation of the samples has been deficient, or the settings of the cytometer have been accidentally altered, the results of the analysis may not meet the criteria prescribed by the documentation. In most of these cases, the program will issue automatically the corresponding warning and/or refuse to perform the complete analysis, but we cannot fully guarantee that this will always be so. If the results provided by the Software, and most especially the graphics, do not meet the quality criteria specified in the product documentation, the user must NOT use the results provided by the Software unless they are validated by a high-level specialist with a high degree of competence and expertise in this particular application of cytometric techniques. If this restriction is not respected, CYTOGNOS declines any responsibility about the consequences, even in case of legal restrictions as mentioned in paragraph 3.1, because the Software would not have been used in accordance with its official documentation provided by CYTOGNOS.

4. BEGINNING AND TERMINATION OF THE AGREEMENT.
This Agreement will be effective immediately after the user finishes the installation process of the program in his or her computer, resulting in an operative version of the Software. The Agreement may be terminated at the initiative of the user, by destroying all copies of the Software or any of its parts, in whatever form, in his or her possession. It will be terminated automatically, with or without notification from CYTOGNOS, if you fail to comply with any of your obligations deriving from this Agreement. In whatever case of termination, you will no longer be authorized to use the Software and you must destroy all the copies of this Software or any of its parts, in whatever form, in your possession.

5. PRIVACITY STATEMENT
This statement explains how the Infinicyt Updater collects information and how it can be used. The only information sent to the Infinicyt Updater Web Service is your Infinicyt serial number and version and it is used to check for available Infinicyt updates, upgrades, downloads or actualizations which will be reported to you by the Infinicyt Updater, in order to offer you the latest Infinicyt improvements. 
No other information, including personal, confidential or related to your computer, is sent, collected, stored or used.  Your Internet Protocol (IP) address used during the connection to the Infinicyt Updater Web Service is not collected, stored and it is not used to identify you or contact you, therefore your connection will remain anonymous during the whole process.
If you are concerned that the Infinicyt Updater might affect your privacy, you can choose to stop this tool at any time.

6. APPLICABLE LAW.
You agree that all the terms of this License Agreement will be governed by Spanish national laws, as interpreted, if necessary, by the appropriate tribunals of the city of Madrid (Spain).
